Terms and Conditions

Prism Labs BV general terms: 7 September 2026 · Cardify supplementary terms: 1 September 2026

This page consists of two parts: Part A contains the general terms and conditions of Prism Labs BV, which form the general contractual framework for all of Prism Labs' activities. Part B contains the additional, Cardify-specific terms. For matters expressly governed by Part B, the provisions of Part B take precedence over Part A.

Part A — General Terms and Conditions of Prism Labs BV

Art. 1. Definitions

"Prism Labs" means: Prism Labs BV, with registered office at Mieregemstraat 167, 1785 Merchtem, Belgium, registered with the Belgian Crossroads Bank for Enterprises (KBO) under number 1040.692.808, email address support@gocardify.io.

The "Client" is anyone who has, or enters into, a contractual relationship with Prism Labs. The "Consumer" is any Client who is a natural person acting for purposes outside their trade, business, craft, or profession. The "Parties" are Prism Labs and the Client together. The "Terms" are these general terms and conditions.

An "Agreement" is the combination of these Terms with the applicable quote, order form, order confirmation, order, product or service description, special conditions, and/or specific terms of the brand, platform, or sales channel concerned.

"Products and Services" means: all products, services, performances, and activities that Prism Labs offers, performs, develops, sells, or makes available directly or under one of its trade names or brands. These may relate to digital products and applications, software and technology services, consultancy and other professional services, platform and online services, creative and commercial activities, e-commerce, and the sale or delivery of physical products.

The specific nature, scope, characteristics, and conditions of the Products and Services are determined by the applicable quote, order, order confirmation, product or service description, and/or specific terms of the brand or platform concerned.

Art. 2. These general terms and specific terms

2.1. These Terms form the general contractual framework for Prism Labs' activities and apply to the formation, performance, and termination of Agreements between the Parties.

2.2. Separate or additional terms may apply to specific trade names, brands, webshops, applications, platforms, Products, or Services. These specific terms supplement these Terms. In the event of a conflict, the specific terms take precedence for the subject matter they expressly address.

2.3. Deviations from these Terms are only valid if expressly agreed. The remaining provisions continue to apply in full. The fact that Prism Labs does not voluntarily apply or enforce a provision does not constitute a waiver of rights.

2.4. The Consumer must be able to consult the applicable terms before or at the latest when entering into the contract and, where required, expressly accept them. For a Client who is not a Consumer, the terms apply as soon as they have been communicated in advance and accepted in accordance with applicable rules.

2.5. General terms and conditions of the Client do not apply, unless Prism Labs has expressly accepted them in writing in advance.

Art. 3. Offer and acceptance

3.1. The Client is responsible for timely providing all correct and complete information reasonably necessary for the delivery or performance of the relevant Products and Services. Depending on the nature of the Agreement, this may include wishes and requirements, technical or functional information, texts, designs, files, dimensions, personalisation data, access credentials, delivery data, billing data, or other relevant information.

3.2. Prism Labs may, when performing the Agreement, rely on the accuracy and completeness of the information provided by the Client.

3.3. Information on websites, applications, webshops, brochures, price lists, demos, presentations, and other commercial communications is in principle informational and does not constitute a binding offer, unless expressly stated otherwise.

3.4. Quotes are valid for the period stated therein or, in the absence thereof, for two months from the date of the quote. An offer, quote, or order covers only the Products, Services, performances, features, or deliveries expressly described therein.

3.5. The Client checks, before acceptance, whether the offer, quote, order, or description matches its wishes and needs. Changes or additional wishes after the Agreement has been formed may result in an adjustment of price, planning, delivery time, performance, or other conditions.

3.6. The Agreement is formed when the Client validly accepts Prism Labs' offer, for example by signing or accepting a quote in writing, confirming an assignment, placing and confirming an order or purchase, registering via a digital platform, or in any other way that demonstrates mutual consent.

3.7. For Consumers, the applicable mandatory rules on pre-contractual information and distance contract formation always apply.

Art. 4. Price and payment

4.1. The price is determined in the applicable quote, order, webshop, subscription plan, special conditions, or specific brand terms. Depending on the activity, a fixed price, hourly or daily rate, subscription, licence, recurring fee, sale price, commission, or a combination thereof may be used.

4.2. Anything not expressly stated as included is not included. Depending on the Agreement, travel and accommodation costs, shipping costs, licences, external software or platform costs, hosting, materials, packaging, personalisation, third-party services, and other external costs may be charged separately.

4.3. Depending on the nature of the Agreement, Prism Labs may request advance payments, interim invoices, periodic invoices, or immediate payment upon order or purchase. Within the limits of applicable law, Prism Labs may suspend delivery, activation, or further performance for as long as amounts due remain unpaid.

4.4. Invoices are payable in euros within the stated period or, in the absence thereof, within thirty calendar days. For online purchases or digital services, payment may be due immediately upon order or activation.

4.5. All prices are displayed in accordance with applicable legal rules. Where the Client is a Consumer, the total price, including applicable taxes and mandatory costs, is communicated where the law requires this.

4.6. In B2B relationships, structured electronic invoicing is used where legally required. Each Party is responsible for the correct functioning of its own invoice receipt and processing systems.

4.7. Any overdue and unpaid debt of a Client automatically accrues interest of 8% per year and a fixed compensation of 8% of the outstanding principal, with a minimum of 50 euros, without prejudice to higher proven damages and collection costs.

4.8. With respect to Consumers, payment arrears are handled exclusively in accordance with mandatory consumer protection legislation, including, where applicable, Book XIX of the Belgian Code of Economic Law.

Art. 5. Performance, delivery, and time limits

5.1. Prism Labs delivers or performs the Products and Services in the manner agreed for the activity concerned. This may take place digitally, remotely, on-site, via a platform, through physical delivery, or via a third-party service provider.

5.2. Unless expressly agreed in writing as binding, or unless mandatory consumer law provides otherwise, planning, performance dates, delivery dates, lead times, and delivery periods are indicative.

5.3. A performance or delivery period only begins once Prism Labs has all the information, materials, choices, approvals, access, and payments reasonably necessary for performance.

5.4. Delays caused by changes to the assignment or order, late information or decisions by the Client, unavailability of materials, technical limitations, carriers, suppliers, platforms, or other third parties may reasonably affect the planning or delivery period.

5.5. If an expressly binding time limit is not met, Prism Labs is first given a reasonable period to remedy the situation, taking into account the nature of the Product or Service concerned, unless applicable law or the specific terms provide otherwise.

5.6. For specific physical products, digital services, subscriptions, or projects, deviating rules on delivery, activation, performance, cancellation, withdrawal, or returns may be included in the specific terms of the brand concerned. Mandatory consumer rights always remain applicable.

Art. 6. External service providers, platforms, and suppliers

6.1. Prism Labs may use external service providers, suppliers, production partners, carriers, payment processors, software and platform providers, hosting and cloud providers, and other specialised third parties to perform or deliver its obligations.

6.2. The terms, availability, delivery, functionality, security, and price changes of such third parties may fall outside Prism Labs' reasonable control. Prism Labs is not liable for a failure by a third party insofar as that failure cannot be attributed to Prism Labs, and unless the law provides otherwise.

6.3. Where, under specific arrangements, the Client itself must obtain or maintain an agreement, licence, account, or right of use with a third party, the Client is responsible for this itself.

6.4. Prism Labs cannot guarantee that third-party products, platforms, software, integrations, payment services, delivery services, or other facilities will remain permanently available, unchanged, or compatible. If a change by a third party has a material impact on an ongoing Agreement, the Parties will seek a reasonable solution where feasible.

Art. 7. Cooperation and responsibilities of the Client

7.1. The Client provides all reasonable cooperation needed for the performance of the Agreement in a timely manner, and provides correct information, choices, materials, files, content, access, addresses, and other data necessary for the relevant Products and Services.

7.2. The Client is responsible for the accuracy and lawfulness of materials, texts, images, designs, files, or other content it provides to Prism Labs itself, and guarantees that it holds the necessary rights to allow Prism Labs to use these for the performance of the Agreement.

7.3. Where relevant for digital Products or Services, the Client is itself responsible for appropriate security, access management, and backups of its own systems and data, unless expressly agreed otherwise.

7.4. The Client uses the delivered Products and Services in accordance with their intended purpose, any instructions, applicable safety guidelines, and legislation.

7.5. Additional work, costs, or waiting time reasonably resulting from a failure to comply, or late compliance, with these obligations may, where permitted, be charged separately.

Art. 8. Subcontracting and auxiliary persons

Prism Labs may engage employees, independent contractors, subcontractors, production partners, suppliers, logistics partners, and other specialised third parties for the entire or partial performance or delivery. The cooperation is not intuitu personae, unless expressly agreed otherwise in writing.

Art. 9. Liability

9.1. Prism Labs performs its obligations carefully and professionally in accordance with the nature of the Agreement concerned. Where the nature of the obligation or applicable law does not prescribe a specific result, Prism Labs undertakes a best-efforts obligation.

9.2. With respect to a Client that is not a Consumer, and within the limits of the law, Prism Labs' contractual liability per claim is limited to the amount agreed or actually invoiced for the Product or Service concerned, whichever is higher. For recurring Services, liability is limited to the fees for the relevant Services during the six months preceding the event giving rise to the damage.

9.3. With respect to a Client that is not a Consumer, Prism Labs is, to the extent permitted by law, not liable for indirect or consequential damages, including loss of profit, loss of revenue, loss of opportunities, reputational damage, or business interruption.

9.4. With respect to Consumers, the statutory liability and warranty rules apply. No provision of these Terms limits any liability that cannot be excluded or limited under mandatory law.

9.5. Directors, representatives, shareholders, employees, agents, and other auxiliary persons of Prism Labs may not, within the limits permitted by law, be held liable on a non-contractual basis for damage related to the performance of the Agreement.

9.6. Prism Labs is not liable for damage arising exclusively from incorrect or incomplete information or materials provided by the Client, unauthorised changes by the Client or third parties, use contrary to instructions, or failures by third parties that cannot be attributed to Prism Labs.

Art. 10. Force majeure and hardship

Force majeure is any circumstance beyond a Party's reasonable control that makes performance wholly or partly impossible or seriously difficult. This may include, among other things, disruptions to essential infrastructure or platforms, cyber incidents beyond Prism Labs' reasonable control, failures by suppliers or carriers, shortages of materials or supplies, strikes, government measures, natural disasters, fire, epidemics, or other similar circumstances.

The obligations affected are suspended for the duration of the force majeure event. If the situation persists for a long time, the Parties will consult on a reasonable solution. If further performance cannot reasonably be required, the Agreement may be terminated for the part not yet performed without compensation, subject to mandatory law.

Where unforeseeable circumstances arise after the Agreement is formed that make performance exceptionally onerous without making it impossible, the Parties may consult in good faith on a reasonable adjustment, to the extent applicable law allows this.

Art. 11. Complaints and inspection

11.1. The Client inspects delivered Products, performed Services, and digital results within a reasonable period, taking their nature into account.

11.2. A Client that is not a Consumer reports visible defects or general complaints, with reasons, within eight calendar days of delivery or performance, hidden defects within eight calendar days of discovery, and invoice disputes within fourteen calendar days of the invoice being sent.

11.3. For Consumers, the statutory rules on conformity, warranty, complaints, delivery, and any right of withdrawal apply. The time limits in Article 11.2 do not affect mandatory consumer rights.

11.4. A complaint does not suspend the obligation to pay for the undisputed part.

Art. 12. Suspension and right of retention

Where the Client fails to meet its due obligations, Prism Labs may, within the limits of the law, wholly or partly suspend further performance, delivery, access, or services until the Client meets its obligations.

Prism Labs may suspend the release of files, materials, or other items entrusted to it by the Client for as long as amounts due remain unpaid, to the extent permitted by law. This right is not exercised against Consumers where their refusal to pay is based on an established failure of performance by Prism Labs.

Art. 13. Intellectual property

13.1. Prism Labs retains all intellectual property rights in its pre-existing and independently developed software, source code, designs, graphic elements, trademarks, trade names, database structures, libraries, frameworks, modules, templates, texts, documentation, methodologies, concepts, know-how, and working documents.

13.2. The purchase or delivery of a physical Product does not transfer any intellectual property rights in its design, styling, brand identity, or other protected elements, unless agreed otherwise in writing.

13.3. For results developed specifically for a Client, the Client obtains, after full payment, the right of use expressly provided for in the Agreement. In the absence of an express arrangement, this is a non-exclusive, non-transferable right of use for the agreed purpose.

13.4. A transfer of copyright, source code, designs, or other intellectual property rights requires an express written agreement in which the transferred rights and permitted uses are sufficiently defined.

13.5. Third-party materials, software, content, brands, or components remain subject to the rights and any licence terms of their respective rights holders.

13.6. The Client guarantees that material it provides to Prism Labs itself does not infringe third-party rights, and indemnifies Prism Labs against claims that arise directly from an infringement caused by material supplied by the Client, within the limits of the law.

13.7. Prism Labs may reuse general knowledge, experience, techniques, ideas, and non-confidential know-how developed or acquired during assignments, provided that no confidential information of the Client is disclosed in doing so.

Art. 14. Confidentiality and data

14.1. The Parties treat non-public commercial, technical, creative, financial, and organisational information received in the context of the collaboration as confidential where, given the nature of the information or the circumstances, it is reasonably clear that it is confidential.

14.2. This confidentiality obligation continues to apply after the end of the collaboration for as long as the information remains reasonably confidential.

14.3. For personal data, Prism Labs refers to the applicable privacy policy of Prism Labs and/or the brand or platform concerned. Where Prism Labs processes personal data as a processor on behalf of a Client, the Parties will, where required, enter into a separate data processing agreement.

Art. 15. Duration and termination

15.1. A one-off purchase, order, or assignment ends once the Parties have performed their respective obligations, except for provisions that by their nature continue to apply.

15.2. For subscriptions, recurring Services, or Agreements of indefinite duration, the duration and termination rules from the special or specific terms apply. In the absence of an express arrangement, an Agreement of indefinite duration may be terminated with a reasonable notice period.

15.3. An Agreement of fixed duration runs until the agreed end date and cannot be terminated early, unless agreed otherwise or legally required.

15.4. Prism Labs may, within the limits of applicable law, terminate an Agreement in the event of a serious failure by the Client, where further performance reasonably becomes impossible, or in other cases provided for in the special terms or by law.

15.5. Upon termination, amounts due remain payable for Products already delivered, services already performed, costs already incurred and accepted, and other amounts due.

15.6. For Consumers contracting at a distance or off-premises, the statutory rules on withdrawal and any statutory exceptions thereto apply. Where necessary, these rules are further elaborated in the specific terms or return policy of the brand concerned.

Art. 16. Non-solicitation

Insofar as the Agreement relates to professional services provided to a Client that is not a Consumer, that Client will not, during the collaboration and for twelve months after the last relevant assignment, actively solicit employees or independent contractors of Prism Labs who were directly involved in providing the services, with a view to a direct collaboration, without Prism Labs' prior written consent.

Art. 17. Privacy and GDPR

Prism Labs processes personal data in accordance with applicable data protection legislation. The purposes, legal bases, retention periods, rights of data subjects, and any recipients are further explained in the applicable Privacy Policy of Prism Labs and/or the brand, platform, or sales channel concerned.

Art. 18. Assignment

The Client may not assign the Agreement, or the rights and obligations arising from it, in whole or in part, without Prism Labs' prior written consent. Prism Labs may assign the Agreement as part of a transfer of its business, brand, or relevant business activity, provided the Client's statutory rights are not thereby reduced.

Art. 19. Severability and invalidity

If a provision proves to be wholly or partly invalid, void, or unenforceable, this does not affect the validity of the remaining provisions. The provision concerned will, to the extent possible, be reduced or replaced by a valid provision that most closely reflects the Parties' original intent.

Art. 20. Jurisdiction and choice of law

Belgian law applies to all legal relationships between the Parties, without prejudice to mandatory provisions from which no derogation is possible under applicable international law.

Disputes fall within the jurisdiction of the Belgian courts of the district where Prism Labs has its registered office, subject to mandatory jurisdiction rules. Where the Client is a Consumer, the legally competent courts apply.
